Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of Food Logic's cloud-based Point of Sale (POS) and inventory management platform ("Service"). By registering a business, creating an account, or otherwise using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of a business, you represent that you have the authority to bind that business.

2. The Service

Food Logic provides tools for sales, purchases, inventory, customer ledgers, reporting, and related business operations, multi-tenant by design — each registered business's data is isolated from every other business on the platform. New business registrations are reviewed and approved before full access is granted.

3. Accounts & Responsibilities

  • You must provide accurate information when registering a business or user account.
  • You are responsible for safeguarding your login credentials and for all activity under your account.
  • The Business Owner is responsible for the accuracy of data entered into the Service (products, prices, customer records, transactions) and for managing which staff have access.
  • You must notify us promptly of any unauthorized use of your account.

4. Subscription & Billing

Access to the Service is subscription-based. Depending on the plan assigned to your business, billing is either a fixed monthly amount or a per-customer rate. There is no automated online payment gateway — payments are made outside the platform (e.g. bank transfer or cash) and recorded manually by our team, which extends your subscription's expiry date accordingly.

If a subscription is not renewed by its expiry date, your business enters a grace period (currently 5 days for fixed-monthly plans, 10 days for per-customer plans) during which the Service remains active. If payment is not recorded before the grace period ends, your business account will be automatically suspended until a payment is recorded, at which point access is reactivated.

5. Acceptable Use

  • Do not use the Service for any unlawful purpose or in violation of any applicable law.
  • Do not attempt to gain unauthorized access to another business's data, or to any part of the Service you are not authorized to access.
  • Do not attempt to bypass, disable, or interfere with security features (including rate limiting and bot-protection measures).
  • Do not reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
  • Do not use automated means (bots, scrapers) to access the Service outside of its intended interfaces.

6. Your Data

You (the Business Owner) retain ownership of the business, product, customer, and transaction data you enter into the Service. We access it only as needed to operate, maintain, and support the Service, or as described in our Privacy Policy. You are responsible for the legality of the data you enter, including having any necessary rights or consents to store your customers' information.

7. Suspension & Termination

We may suspend or terminate access to the Service for non-payment (subject to the grace period above), for violation of these Terms, or for suspected fraudulent or abusive activity. You may stop using the Service at any time. Upon termination, your right to access the Service ends, though we may retain data for a reasonable period as described in our Privacy Policy.

8. Intellectual Property

The Service, including its software, design, and branding, is owned by Food Logic and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding except as necessary to use the Service as intended.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or uninterrupted, error-free operation. You are responsible for maintaining your own backups/records where required for your business or by law.

10. Limitation of Liability

To the maximum extent permitted by law, Food Logic shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business opportunities arising from your use of, or inability to use, the Service.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the date below. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
